Standard terms and conditions
1. General
These terms and conditions apply to any delivery of goods, services and agreements from GrowDesign A/S (hereinafter referred to as “GD”). The terms and conditions always take precedence over any purchasing terms and conditions of the customer, unless otherwise specifically agreed in a quotation, order confirmation or contract drawn up by GD. Quotations from GD are valid for a period of 10 working days from the date of the quotation, unless otherwise expressly stated in writing.
2. Prices and payment
All prices stated on the GD webshop, via quotations or agreements entered into are in Danish kroner excluding VAT, packing and freight, unless otherwise expressly stated. Invoices are sent by email in PDF format. Payment must be made to the bank account provided. Unless otherwise stated, payment terms are 14 days net. GD performs ongoing credit assessments of debtors and can change payment terms without notice. If payment is not made by the due date, the customer will be charged 2% interest on the amount due per month or part thereof. In addition, GD is entitled to charge a fee of DKK 250 when a demand for payment is issued. GD reserves the right to make reservations for misprints, delivery failure, discontinued goods and force majeure, cf. clause 5.
3. Purchases
3.1 Agreement
An agreement on the purchase of physical goods from GD is not entered into until the customer has received an order confirmation, accepted a quotation in writing or other documentation as acceptance of the purchase agreement is available.
3.2 Cancellation of orders
An order with delivery from stock can be cancelled up to 7 days before delivery takes place. For purchases of goods outside the standard range or which are otherwise considered to be special order goods, the order cannot be cancelled.
3.3 Delivery, shipping and freight
Delivery is always ex warehouse, unless otherwise agreed. The delivery date is stated in the order confirmation or separate email sent to the customer. Delivery dates for special order goods or items that are not in stock are indicative and cannot be guaranteed. All shipments are delivered with an external distributor. Upon delivery of the goods, liability and risk for the goods shall pass to the customer at the time of delivery. In the event of an unsuccessful delivery, a fee is charged according to the time spent, but at least DKK 300. It is possible to pick up goods at GD’s warehouse, but only after prior agreement with GD. The freight price is only added to the order at the time of packing, as the freight price is based on dimensions, weight and volume, as well as the delivery location. For special order goods and container goods, we reserve the right to adjust the price based on changes in the freight price.
4. Complaints
4.1 Goods
Check your goods as soon as possible after receipt. Complaints must be reported to GD no later than 2 working days after receipt of the goods.
4.2 Ownership
Ownership shall not pass to the customer until full payment for the goods has been made.
4.3 Right of exchange and return
Exchanges and returns of goods can only be made by prior agreement with GD. Freight costs in connection with any exchange/return of goods are at the buyer’s expense, unless otherwise agreed.
5. Force majeure and reservations
GD makes reservations for force majeure, including energy shortages, local and general strikes/blockades, stoppage of water supply, natural disasters, fire, explosion, bans or orders issued by public authorities, epidemics, pandemics, disruptions to public infrastructure (connections, IT, etc.) and lockouts.
6. Venue
Disputes or claims arising from contracts entered with GD shall be settled by the Court of Kolding.
7. Confidentiality
Documents sent by GD may not be communicated to, or shared with, third parties without the consent of GD.
8. Complaints
A complaint about a product or service purchased from GD can be submitted to the Danish Competition and Consumer Authority’s Centre for Complaint Resolution, Carl Jacobsens Vej 35, 2500 Valby, Denmark. A complaint can be lodged with the Centre for Complaint Resolution via www.forbrug.dk. The European Commission’s online complaint portal can also be used when filing a complaint.
